Terms of Service
These Terms govern the use of Simpleflow (the "Service"), provided by Ketchup Adv S.p.A., Piazza Borromeo 14, 20123 Milano Italy, VAT IT09211640967 ("we"). By using the Service you accept these Terms on behalf of yourself and the company you represent (the "Customer"). Any specific contractual terms agreed in writing with the Customer prevail over these Terms. The Italian version is the legally binding one; this English translation is provided for convenience.
1. The Service
Simpleflow is a SaaS platform that imports an online store's product catalog (from the Shopify app or a feed URL), measures its quality with the AI Readiness Score and AI Discoverability Score, enriches it with information from public sources, generates content optimized for Google Merchant Center, ChatGPT, Meta and the Customer's own product pages, publishes it through feed links, the Merchant API and the Shopify app, and shows product status and issues. The Service is intended for business users only.
Scores measure the quality and completeness of data and content. Simpleflow does not guarantee that products will be shown, ranked or recommended by search engines, AI assistants or other channels.
2. Accounts and access
- Access is by invitation. The Customer is responsible for the users it invites and for the activity carried out with their accounts.
- You must keep your credentials confidential and notify us immediately of any unauthorized use.
- By connecting a Google account you confirm you are authorized to manage the connected Merchant Center account.
3. Acceptable use
You agree not to use the Service to: break the law or infringe third-party rights; publish products or content prohibited by Google Merchant Center policies; attempt unauthorized access to our systems or other customers' data; reverse engineer, overload or impair the Service.
4. Content and product responsibility
- Catalog data remains the Customer's property. You grant us a limited license to process it solely to provide the Service.
- Copy and attributes suggested by Simpleflow, including those generated with AI tools, are suggestions: the Customer is responsible for reviewing and approving them before publication, and for the accuracy of the published information (prices, availability, features).
- Product approval and visibility depend on Google: we do not guarantee that a product will be approved or achieve specific results.
5. Third-party services
The Service integrates with Google Merchant Center and other third-party services, which are subject to their own terms. We are not responsible for outages, changes or decisions of those services. You can revoke Simpleflow's access to your Google account at any time, as described in the privacy policy.
6. Privacy
The processing of personal data and data received from Google is described in the privacy policy. Where the Customer entrusts us with third parties' personal data, we act as a processor under the Art. 28 GDPR agreement available on request.
7. Fees
The Service is offered as a subscription with prepaid credits: 1 credit equals 1 product optimized for 1 language and 1 channel. Price and availability updates do not use credits. Fees, included credits, billing and term are set out in the offer or contract signed with the Customer.
8. Intellectual property
The Service, the software, the Simpleflow brand and related content belong to us or our licensors. No rights are transferred to the Customer beyond the right to use the Service under these Terms.
9. Availability and changes
We strive to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may update or change features; for material adverse changes we will give the Customer reasonable notice.
10. Limitation of liability
To the extent permitted by law, we are not liable for indirect damages, loss of profits, data or business opportunities. Our total liability is limited to the amounts paid by the Customer for the Service in the 12 months preceding the event. This does not apply in cases of willful misconduct or gross negligence.
11. Suspension and termination
We may suspend access in case of breach of these Terms or security risks. The Customer may stop using the Service at any time as provided in the contract. On account closure, data is deleted within the time frames set out in the privacy policy.
12. Governing law and jurisdiction
These Terms are governed by Italian law. The courts of the place where Ketchup Adv S.p.A. has its registered office have exclusive jurisdiction, unless mandatory law provides otherwise.
